1. Acceptance of Terms

By creating a Coach account, accessing, or using the Coachline Hockey platform and mobile application (the “App”), operated by Coachline Hockey LLC (“Coachline,” “we,” “our,” or “us”), you (“Coach” or “you”) agree to be bound by these Coach Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use the App.

2. Description of Service

Coachline provides a marketplace platform that connects hockey coaches with players seeking coaching services. Coachline facilitates the scheduling, booking, and payment processing for coaching sessions. Coachline is not a party to the coaching relationship between Coaches and Players and does not provide coaching services itself.

3. Non-Circumvention and Exclusivity of Bookings

THIS IS A MATERIAL TERM OF THESE TERMS. PLEASE READ CAREFULLY.

All Players acquired through the App or introduced to you via the App (“App-Sourced Players”) must be booked exclusively through the App for the duration of your use of the platform and for a period of twenty-four (24) months following the termination or deactivation of your Coach account.

You shall not, directly or indirectly, solicit, book, schedule, arrange, or conduct coaching sessions with any App-Sourced Player outside of the App, whether for compensation or otherwise.
You shall not request, encourage, or incentivize any Player to cancel an existing booking on the App in order to rebook the session outside of the App.
If you bring a Player into the App (i.e., a Player who was your existing client before joining the App), all future bookings with that Player must be conducted through the App once that Player has created an account on the platform.
You shall not share personal contact information (including but not limited to personal phone numbers, email addresses, social media handles, or business websites) with any Player for the purpose of arranging coaching services outside the App.

Any violation of this Section 3 shall constitute a material breach of these Terms and may result in immediate and permanent termination of your Coach account, forfeiture of any pending payments, and liability for damages suffered by Coachline, including but not limited to lost platform fees and commissions.

4. Independent Contractor Status

You acknowledge and agree that you are an independent contractor and not an employee, agent, joint venturer, or partner of Coachline Hockey LLC. Nothing in these Terms creates an employment relationship, partnership, or agency between you and Coachline. You are solely responsible for your own taxes, insurance, certifications, and compliance with all applicable laws and regulations related to your coaching activities.

5. Waiver of Liability — Injuries and Damages

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You acknowledge that hockey coaching involves inherent physical risks, including but not limited to bodily injury, concussion, broken bones, sprains, strains, lacerations, dental injuries, spinal injuries, paralysis, and death to both you and your Players.

To the fullest extent permitted by applicable law, you hereby release, waive, discharge, and agree not to sue Coachline Hockey LLC, its owners, officers, directors, employees, agents, affiliates, and representatives (collectively, the “Released Parties”) from any and all liability, claims, demands, actions, or causes of action arising out of or related to any injury, illness, damage, disability, death, or property damage sustained by you, your Players, or any third party during, arising from, or in any way connected to any coaching session booked through the App.

This release applies regardless of whether such injury, illness, damage, disability, death, or property damage is caused by the negligence of the Released Parties or otherwise.

You acknowledge that Coachline does not supervise, direct, or control your coaching methods, techniques, drills, or instruction. You are solely responsible for the safety and welfare of your Players during coaching sessions.

You agree to carry adequate insurance to cover your coaching activities and to provide proof of such insurance upon request by Coachline.

You agree to indemnify and hold harmless the Released Parties from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (i) your coaching services; (ii) any injury or damage to any Player or third party during a coaching session; (iii) your breach of these Terms; or (iv) your violation of any applicable law or regulation.

6. Coach Obligations and Standards

As a Coach on the Coachline platform, you represent, warrant, and agree that:

You possess the necessary skills, experience, and qualifications to provide hockey coaching services.
You will maintain all certifications, licenses, and permits required by applicable law for providing coaching services.
You will conduct all coaching sessions in a professional, safe, and responsible manner.
You will comply with all applicable local, state, and federal laws and regulations.
You will not engage in any conduct that is harmful, threatening, abusive, harassing, or otherwise inappropriate toward any Player or user of the App.
You will not arrive at or conduct any coaching session while under the influence of alcohol, drugs, or any other impairing substance.

7. Payment and Fees

Coachline will process all payments from Players on your behalf. Coachline shall retain a platform commission as specified in your Coach onboarding agreement or as otherwise communicated to you through the App. Payment disbursements will be made according to the schedule and methods set forth in the App. Coachline reserves the right to withhold or reclaim payments in cases of fraud, chargebacks, or violations of these Terms.

8. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate and complete information when creating your Coach profile, including your qualifications, experience, and any certifications. Misrepresentation of credentials shall constitute a material breach of these Terms.

9. Prohibited Conduct

In addition to the restrictions in Section 3, Coaches shall not:

Use the App for any unlawful purpose or in violation of any applicable law or regulation.
Misrepresent your identity, qualifications, experience, or certifications.
Attempt to reverse-engineer, decompile, or disassemble any part of the App.
Share, transfer, or sell your Coach account to any other person.
Post or transmit false, misleading, or defamatory content through the App.
Use any Player's personal information for any purpose unrelated to the coaching session booked through the App.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Coachline Hockey LLC be liable to you for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the App or your coaching activities, regardless of the theory of liability. Coachline's total aggregate liability to you for all claims arising out of or related to these Terms shall not exceed the total platform fees retained by Coachline from your bookings in the twelve (12) months preceding the event giving rise to such liability.

11. Termination

Coachline may suspend or terminate your Coach account at any time, with or without cause, and with or without notice. Upon termination, the non-circumvention obligations in Section 3 shall survive for the period specified therein. All pending bookings may be cancelled at Coachline's discretion. Coachline shall have no liability to you for any termination of your account.

12. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state in which Coachline Hockey LLC is organized. Each party shall bear its own costs and expenses. YOU AGREE THAT YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State in which Coachline Hockey LLC is organized, without regard to its conflict-of-law provisions.

14. Modifications

Coachline reserves the right to modify these Terms at any time. Updated Terms will be posted within the App and will be effective upon posting. Your continued use of the App following any modification constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with any other policies referenced herein, constitute the entire agreement between you and Coachline Hockey LLC with respect to your use of the App as a Coach and supersede all prior or contemporaneous agreements or understandings.
